General terms and conditions of Ageworth Clinics

In this document, you will find the general terms and conditions of Ageworth Clinics. Initially, Ageworth Clinics rejects all general terms and conditions of other parties, unless otherwise specified in the agreement or these general terms and conditions. No other rights can be derived from these general terms and conditions than those explicitly stated.

1. Company information

Ageworth Clinics is registered at the Chamber of Commerce as Ageworth B.V. under number 73930474, with the statutory name Dr. David Aesthetics B.V. Ageworth Clinics is located at Spacelab 9, 3824 MR Amersfoort.

2. Definitions

  • Day: calendar day;
  • Ageworth Clinics: as mentioned in Article 1, Ageworth Clinics can be considered a healthcare provider, based on Article 1 paragraph 1 sub f Wzb and Article 1 paragraph 3 Wzb.
  • Client: any natural person who does not act in the course of a profession or business, who enters into or intends to enter into an agreement with Ageworth Clinics, including by using the Services and/or Products of Ageworth Clinics.
  • Service: any service offered by Ageworth Clinics, via the Website or in any other way, including (but not limited to) the provision of products.
  • Products: all products offered by Ageworth Clinics on the Website or in any other way.
  • Agreement: any agreement concluded between Ageworth Clinics and Client, regardless of the manner, including by purchasing a Product;
  • Parties: collectively referred to as Ageworth Clinics and Client;
  • Written communication: all communication that does not take place verbally, digital communication is also included in this formulation.
  • Website (of Ageworth Clinics): refers to the website https://www.Ageworth.com/.

3. Applicability

  1. The general terms and conditions of Ageworth Clinics apply to any agreement between Ageworth Clinics and Client. General terms and conditions of any other party are generally rejected. Only when expressly and in writing agreed upon by the Parties, the general terms and conditions of Ageworth Clinics are not fully applicable.
  2. In the event of any deviation from one or more provisions of these general terms and conditions, the remaining provisions shall remain in force.
  3. Changes and/or additions to the agreement are only possible if Ageworth Clinics has given explicit and written permission for this.
  4. After the first acceptance, the general terms and conditions do not need to be explicitly agreed upon again but are deemed to have been tacitly accepted. This applies to all further agreements between Ageworth Clinics and Client.

4. Agreement

  1. The Agreement between Ageworth Clinics and the Client is established through an offer and acceptance of this offer (Article 6:217 of the Civil Code). The Agreement can only be concluded in writing.
  2. Only after written agreement between Ageworth Clinics and the Client, Ageworth Clinics will proceed with the execution of the Agreement. Scheduling an appointment on Ageworth Clinics’ website can also be considered as written agreement, depending on the circumstances in which the appointment was made.
  3. Employees of Ageworth Clinics or third parties engaged by Ageworth Clinics cannot make binding agreements with the Client. Commitments (oral or written) do not bind Ageworth Clinics until and unless they are confirmed by an authorized representative of Ageworth Clinics.
  4. Changes and/or additions to the Agreement are only possible if Ageworth Clinics has given explicit written consent.
  5. Ageworth Clinics has an obligation of best efforts, not a guarantee of results, regarding the provision of the Services. In consultation with the Client, Ageworth Clinics will make every effort to achieve the desired result.

5. Execution of the Services

Ageworth Clinics applies various procedures for the execution of the Services. This General Terms and Conditions provide further explanation of these procedures. The Client will always be extensively informed by Ageworth Clinics about the procedure of a Service to be performed.

5.1. Injectable Procedure
  1. Schedule an appointment by filling out the appointment form (available on our website), by contacting us by phone, or by visiting our clinic in Amersfoort.
  2. You will have the opportunity to schedule a non-binding consultation appointment (or follow-up appointment). When scheduling a consultation, you will receive an appointment confirmation, consent form, and brochure from Ageworth Clinics. The Client will be informed about the possible risks.
  3. You can choose not to schedule a consultation appointment. If you do not schedule a consultation, when scheduling an intake appointment, you will receive an appointment confirmation, consent form, and brochure.
  4. When visiting our clinic in Amersfoort, you will be asked to identify yourself, and an intake interview will follow. In this interview, various topics will be discussed, including your wishes, medical status, medications used, and (possible) chronic illnesses.
  5. Based on the Intake Interview, a treatment plan will be prepared, which will include the Services to be performed.
  6. It is possible for the treatments to be performed immediately at our clinic, but it is also possible to schedule an appointment to perform the treatments at a later time.
  7. After performing the treatments, you will receive a monthly summary of the treatment plan and a post-treatment form indicating what to watch for and what to do in case of possible complications.
  8. You can schedule a follow-up appointment with us between fourteen (14) and thirty (30) days after the treatment, during which we will discuss your situation together. Any complications will be corrected by Ageworth Clinics free of charge.
5.2. Procedure Surgery
  1. Schedule an appointment by filling out the appointment form (available on our website), contacting us by phone, or visiting our clinic in Amersfoort.
  2. You can schedule a non-binding consultation appointment (Ageworth Clinics will always conduct a consultation before proceeding with any treatment). When scheduling a consultation, Ageworth Clinics will send you an appointment confirmation, consent form, and brochure. You will receive the consent form within twenty-four (24) hours. The client will be informed about the possible risks.
  3. When visiting our clinic in Amersfoort, you will be asked to present identification and an intake interview will take place. In this interview, various topics will be discussed, including your desires, medical status, medications used, and (possible) chronic illnesses.
  4. Based on the intake interview, a treatment plan will be developed, which will include the services to be performed.
  5. The treatments may be performed immediately at our clinic, or an appointment may be scheduled for a later time.
  6. After the treatment, you will receive a telephone call between two (2) and four (4) days later. This is a check-up, a brief conversation about your condition and recovery. Ageworth Clinics will attempt to reach you at least three (3) times.
  7. Between seven (7) and nine (9) days after the treatment, an appointment will be scheduled to remove the stitches.
  8. You can schedule a follow-up appointment with us two (2) to three (3) days after the last treatment. We will review your situation together. If any complications arise, Ageworth Clinics will correct them free of charge and may schedule an additional operation.
5.3. Procedure Skin Improvement
  1. Schedule an appointment by filling out the appointment form (available on our website), contacting us by phone, or visiting our clinic in Amersfoort.
  2. You have the option to schedule a non-binding consultation appointment (or a follow-up appointment). When scheduling the appointment, Ageworth Clinics will send you an appointment confirmation, consent form, and brochure. The client will be informed about the possible risks.
  3. You can choose not to schedule a consultation appointment. If you do not schedule a consultation, when scheduling an intake appointment, you will receive an appointment confirmation, consent form, and brochure.

6. Complaints procedure

  1. Ageworth Clinics has a legally based and adequately communicated procedure for the reception and handling of complaints and treats complaints in accordance with this complaints procedure. Ageworth Clinic places great value on quality and the proper execution of our Services. We handle each complaint individually and consider the situation of the Client.
  2. The complaints procedure can be viewed on the website of Ageworth Clinics. Upon request, the Client will receive a paper version of this procedure.
  3. In case of a complaint, you can contact the main practitioner of the treatment, who will review the situation and discuss the (possible) next steps.
  4. If the Parties do not agree on the complaint, an internal complaints officer will be approached to review and handle the situation again.
  5. Additionally, an independent complaints officer can be engaged, who is a specialist in the area of the performed Service. The independent complaints officer will further review the situation.
  6. Complaints about the execution of the Services must be submitted to Ageworth Clinics in a timely, complete, and clearly described manner within a reasonable period after the Client has identified or could reasonably have identified the defects. A period of fourteen (14) days is considered a reasonable period in any case.
  7. If the complaint cannot be resolved through mutual agreement, a dispute arises that is subject to the dispute settlement procedure.
  8. A dispute must be submitted to the dispute committee within three months after its occurrence.

7. Offer

  1. Ageworth Clinics makes an offer on the Ageworth Clinics website.
  2. The offer as described on the website is an indication. Ageworth Clinics cannot be held to the offer stated on the website. Each offer will be determined based on the facts and needs of the Client. Ageworth Clinics will always clearly indicate to the Client what the content of the offer is before entering into an Agreement.
  3. Price quotations provided on the website include VAT. If prices are stated without VAT, this will always be indicated.
  4. Ageworth Clinics reserves the right to modify an offer displayed on the website.

8. Payment terms

  1.   2. Ageworth Clinics may agree with the Client on a reasonable advance payment in advance.
  3. If the Client does not pay the full invoice amount, Ageworth Clinics will send one reminder with a new date for the full payment.
  4. If the Client does not comply with the new deadline, Ageworth Clinics will send a formal notice. This notice will set a new date for the full payment of the invoice amount. Administrative costs amounting to fifty (50) euros will be charged before sending the formal notice.
  5. After the formal notice is not paid, the claim will be handed over to a collection agency. This party will collect the claim. Any additional costs will be borne by the Client, including the possibility of a legal dispute.

9. Care

  1. Ageworth Clinics will observe the care of a competent healthcare provider when performing the Services and act in accordance with the responsibility imposed on Ageworth Clinics by the professional standard and guidelines of the professional group.
  2. Ageworth Clinics uses medication and other medical devices that are registered and traceable when providing the Services.
  3. Ageworth Clinics will comply with the guidelines and standards included in the Quality of Care Institutions Act in the establishment and execution of the Agreement.
  4. Ageworth Clinics will never refuse a request for referral to another expert healthcare provider for a second opinion. Ageworth Clinics.

10. Liability

  1. Any liability, whether contractual or non-contractual, (except for liability arising from intent or gross negligence) of Ageworth Clinics and – if applicable – its directors and employees, is limited to the amount determined in Ageworth Clinics’ professional and/or business liability insurance.
  2. If Ageworth Clinics is liable for damages suffered, such liability is limited to what is stipulated in these provisions.
  3. Ageworth Clinics is not liable for any damages of any kind resulting from reliance on incorrect and/or incomplete information provided by or on behalf of the Client.
  4. Ageworth Clinics is only liable for direct damages.
  5. Direct damages are exclusively understood to be reasonable costs incurred in determining the cause and extent of the damages, insofar as the determination relates to damages within the meaning of these terms and conditions, any reasonable costs incurred to have Ageworth Clinics’ defective performance meet the Agreement, insofar as these costs can be attributed to Ageworth Clinics, and reasonable costs incurred to prevent or limit damages, provided that the Client demonstrates that these costs have led to the limitation of direct damages as referred to in these General Terms and Conditions.
  6. Ageworth Clinics is never liable for indirect damages.
  7. In no event shall Ageworth Clinics be liable for warranties and guarantees provided by third parties or (personnel of) Ageworth Clinics.
  8. The limitations of liability stipulated in this article do not apply if the damages are due to intent or gross negligence on the part of Ageworth Clinics.

11. Right of Withdrawal

  1. Ageworth Clinics offers various Products online and in the clinic. The Client may terminate an Agreement regarding the purchase of Products made on the Ageworth website within a cooling-off period of fourteen (14) days, without stating any reasons. Ageworth Clinics may ask the Client for the reason for the withdrawal but cannot require the Client to provide a reason.
  2. The Client has no right of withdrawal if the article is an item that cannot be returned for reasons of health protection or hygiene and the seal has been broken.
  3. Products purchased at the clinic can only be returned within a period of seven (7) days, except for products that cannot be returned due to health protection or hygiene reasons and whose seal has been broken.
  4. The cooling-off period mentioned in Article 11, paragraph 1 commences on the day after the Client, or a third party designated by the Client, who is not the carrier, has received the product, or if the Client has ordered multiple products in the same order: the day on which the Client, or a third party designated by the Client, has received the last product.
  5. If the Client exercises their right of withdrawal, they shall notify Ageworth Clinics of this within the cooling-off period by means of the Model Withdrawal Form, email, or in another unambiguous manner.
  6. The Client shall return (or hand over) the product with all delivered accessories, if reasonably possible in its original condition and packaging, and, if applicable, in accordance with the reasonable and clear instructions provided by Ageworth Clinics.
  7. The risk and burden of proof for the correct and timely exercise of the right of withdrawal lie with the Client.
  8. Any costs arising from the return of Products shall be borne by the Client. Ageworth Clinics cannot be obligated to bear the return costs of a Product. If Ageworth Clinics explicitly indicates that it will bear the costs itself, the Client is not required to bear the return costs.

12. Client Privacy and Data

Ageworth Clinics always complies with the General Data Protection Regulation and/or related national and international data protection laws and regulations. Please refer to our privacy statement for more information.

13. Force Majeure

  1. Ageworth Clinics shall not be liable for damage resulting from circumstances that were unforeseeable by Ageworth Clinics at the time of entering into the Agreement. Such circumstances include, among others, lack of raw materials, factory disruptions of any kind, strikes, exclusions or a lack of employees, quarantine, epidemics, pandemics, natural disasters, mobilization, a state of emergency, a state of war or war, traffic disruptions on railways or a lack of transportation, traffic blockades, illness regardless of the reason or cause thereof, or other unforeseen circumstances that were not known at the time of entering into the Agreement.
  2. In the event of force majeure, Ageworth Clinics has the right to suspend or terminate the performance of the Agreement. This does not entitle the Client to a refund of any funds.
  3. If Ageworth Clinics later performs a temporarily suspended part of the Agreement, the Client is obliged to pay the entire agreed consideration without any form of discount.

14. Severability

If and to the extent that, due to reasonableness and fairness or the unreasonable onerousness of any provisions of the Agreement and General Terms and Conditions, no reliance can be placed on them, such provisions shall have a meaning and purpose as similar as possible to the original provisions, so that reliance can be placed on them.

15. Continuation

If it is explicitly or implicitly intended that provisions in these General Terms and Conditions remain in effect, they shall remain valid after the termination of the Agreement between the Parties.

16. Conflicting Clauses

If the General Terms and Conditions and the Agreement contain conflicting provisions, the provisions included in the concluded Agreement between the Parties shall apply. This applies only if the Agreement contains an explicit Order Confirmation.

17. Non-compliance with the General Terms and Conditions

If the Client fails to comply with the provisions of these General Terms and Conditions, Ageworth Clinics has the right to refuse to provide further services to the Client.

18. Applicable Law

All Agreements between the Client and Ageworth Clinics, as well as these General Terms and Conditions, are governed by Dutch law.

19. Choice of Forum

The District Court of Midden-Nederland, location Utrecht (department of civil affairs/canton) has jurisdiction over any disputes. Nevertheless, Ageworth Clinics has the right to submit the dispute to the competent court as provided by law.
